1. Definitions
"AceIt," "we," "us," or "our" means AceIt Interview and its affiliates, successors, and assigns.
"Services" means (a) the website and web applications operated by AceIt at or under the aceitinterview.com domain and related properties; (b) the AceIt desktop browser application and related software made available to you in connection with your Account; and (c) all associated features, APIs, documentation, and support services we make available from time to time, subject to your subscription tier and product configuration.
"User," "you," or "your" means the individual or entity accessing or using the Services and, if applicable, the individual authorized to act on behalf of that entity.
"Account" means the registered user account through which you access the Services.
"User Content" means information, documents, prompts, transcripts, and other materials that you submit, upload, or otherwise make available through the Services.
"Third-Party Services" means third-party products, platforms, websites, or applications (including, without limitation, video-conferencing services, technical assessment platforms, and large language model providers) that are not owned or controlled by AceIt but that may interoperate with the Services or be accessed by you in connection with your use of the Services.
2. Acceptance; Modifications
By creating an Account, downloading or installing the AceIt desktop application, or otherwise accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, you must not use the Services.
AceIt may revise these Terms from time to time. We will post the updated Terms on the Services and update the effective date above. If a change is material, we will provide reasonable notice in accordance with applicable law. Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of the revised Terms, except where applicable law requires your express consent.
3. Description of Services
The Services are designed to provide interview preparation and real-time interview assistance functionality, including, without limitation, transcription-related features, browser-based workflows, document-aware answer assistance, and integrations that facilitate your use of certain Third-Party Services in connection with your interview processes. The specific features available to you depend on your subscription plan (e.g., Starter, Pro), product configuration, and feature flags as described on our Pricing page or within the Services.
AceIt reserves the right to modify, suspend, or discontinue any aspect of the Services (including features, APIs, or integrations) at any time, with or without notice, subject to applicable law and any express commitments made to you in a separate written agreement. AceIt does not guarantee that the Services will operate uninterrupted or error-free, or that any Third-Party Service will remain available or compatible with the Services. To the maximum extent permitted by applicable law, AceIt has no liability for interruption, downtime, or any modification or discontinuance of the Services, except as expressly stated in these Terms or a separate written agreement.
The Services are not intended for distribution or use where such distribution or use would violate local law or regulation or require AceIt to register in that jurisdiction. If you access the Services from outside your home country, you are responsible for compliance with applicable local laws.
The Services are not intended to comply with industry-specific regimes such as the Health Insurance Portability and Accountability Act (HIPAA), the Federal Information Security Management Act (FISMA), or obligations under the Gramm-Leach-Bliley Act (GLBA). Do not use the Services to process information or engage in activities that would subject you or AceIt to such laws absent a separate compliant agreement that expressly addresses those requirements.
4. Eligibility; Registration
You represent and warrant that you are at least eighteen (18) years of age (or the age of legal majority in your jurisdiction) and have full legal capacity to enter into these Terms. If you register on behalf of an organization, you represent and warrant that you are authorized to bind that organization to these Terms, and references to "you" will include that organization.
You agree to provide accurate, current, and complete Account information and to update such information as necessary. You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You must notify AceIt promptly of any unauthorized use or security breach. You represent that you will not access or use the Services through automated or non-human means (such as bots, scrapers, or scripts) except as AceIt expressly permits in writing or by the offered product interface.
AceIt may suspend or terminate your Account or refuse registration in its reasonable discretion, including where AceIt reasonably believes you have violated these Terms or pose a security or legal risk.
5. License Grant; Restrictions
Subject to your compliance with these Terms and payment of applicable fees, AceIt grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during the term of your subscription to access and use the Services solely for your internal business or personal interviewing purposes, in accordance with applicable documentation and technical limitations.
Except as expressly permitted by AceIt in writing or as required by applicable law, you shall not:
- copy, modify, create derivative works of, reverse engineer, decompile, or attempt to extract the source code of the Services;
- rent, lease, sell, sublicense, distribute, or otherwise commercially exploit the Services;
- circumvent or attempt to circumvent technical measures, rate limits, usage limits, or subscription entitlements;
- use the Services to develop a competing product or service or to benchmark the Services for publication without AceIt's prior written consent;
- use the Services in any manner that violates applicable law or third-party rights;
- transmit malware, conduct denial-of-service attacks, or otherwise interfere with the integrity or performance of the Services or third-party systems.
6. User Content
As between you and AceIt, you retain all right, title, and interest in and to your User Content. You grant AceIt a worldwide, non-exclusive, royalty-free license to host, reproduce, process, transmit, display, and otherwise use User Content solely as reasonably necessary to provide, maintain, secure, and improve the Services and to comply with law.
You represent and warrant that you have all rights necessary to grant the foregoing license and that your User Content does not violate applicable law or infringe any third-party intellectual property, privacy, or publicity rights. AceIt may remove or disable access to User Content that AceIt reasonably believes violates these Terms or applicable law.
You are responsible for maintaining backups of your User Content to the extent you need them outside the Services. AceIt may perform routine backups for operations, but except as required by applicable law, AceIt is not liable for loss or corruption of User Content.
7. Third-Party Services
The Services may enable you to access, integrate with, or log in to Third-Party Services. Your use of Third-Party Services is governed solely by your agreement with the applicable third party. AceIt does not control and is not responsible for Third-Party Services, including their availability, accuracy, security, pricing, or data practices.
AceIt does not, at present, transmit User Content or prompts to large language model providers through AceIt-operated server-side API integrations. Generative-AI features, where available, are used when you access Third-Party Services (for example, AI chat or conferencing products) through the AceIt client with your own credentials; in those cases, processing is governed solely by the applicable third party's terms and privacy notices. AceIt may introduce backend model integrations in the future; if it does, AceIt will update these Terms and its Privacy Policy accordingly.
You acknowledge that outputs generated by artificial intelligence systems may be inaccurate or incomplete and that you are responsible for evaluating suitability for your circumstances.
8. Acceptable Use
You agree to use the Services only in compliance with these Terms and all applicable laws, rules, and regulations. Without limiting the foregoing, you shall not use the Services to:
- violate export control, sanctions, anti-discrimination, or anti-harassment laws;
- systematically retrieve data or content from the Services to build a collection, database, or directory without AceIt's prior written consent, except ordinary use of a conventional web browser or search engine access to public pages as commonly intended;
- circumvent, disable, or interfere with security or access-control features of the Services, except as expressly allowed by AceIt documentation for intended product use;
- impersonate any person or entity or misrepresent your affiliation;
- collect or store personal data of third parties without a lawful basis and, where required, appropriate notice and consent;
- engage in fraud, phishing, spamming, or other deceptive practices;
- misuse AceIt support channels or submit fabricated reports of misconduct;
- interfere with or disrupt the Services or servers or networks connected to the Services, or impose an unreasonable load on AceIt infrastructure;
9. Compliance with Interview and Assessment Rules
Employers, educational institutions, testing organizations, and other third parties may impose rules governing interviews, examinations, assessments, or evaluations ("Assessment Rules"). You acknowledge and agree that you are solely responsible for determining whether your use of the Services complies with all applicable Assessment Rules, contractual obligations, honor codes, and similar requirements.
ACEIT DOES NOT WARRANT THAT ANY USE OF THE SERVICES WILL COMPLY WITH ANY PARTICULAR ASSESSMENT RULES. YOU ASSUME ALL RISK ARISING FROM YOUR USE OF THE SERVICES IN CONNECTION WITH ANY INTERVIEW, EXAMINATION, OR ASSESSMENT.
10. Fees; Trials; Billing
Certain features of the Services require a paid subscription. Fees, billing cycles, and plan entitlements are as specified on the Pricing page or checkout flow at the time of purchase. Payments are processed by Stripe, Inc. or its affiliates ("Stripe"). You agree to comply with Stripe's terms and to provide accurate billing information.
Unless otherwise stated at the time of purchase, subscriptions renew automatically for successive periods equal to the initial term until canceled in accordance with the cancellation mechanism we provide. You authorize AceIt and its payment processors to charge applicable fees and taxes to your designated payment method.
AceIt may offer time-limited trials of paid features (for example, following email verification of your Account). Upon expiration of a trial period, access to trial-only features may cease unless you purchase a qualifying subscription.
Except as required by applicable law or as expressly stated at checkout, all fees are non-refundable. For billing inquiries, contact support@aceitinterview.com.
AceIt may refuse or limit orders, correct pricing or billing errors even after payment is requested or received, and adjust charges to reflect taxes or processing issues as permitted by law and payment network rules.
11. Intellectual Property
AceIt and its licensors own all right, title, and interest in and to the Services, including all software, documentation, trademarks, service marks, logos, and branding, and all associated intellectual property rights. Except for the limited license expressly granted in Section 5, no rights are granted to you. Any feedback or suggestions you provide regarding the Services may be used by AceIt without obligation or compensation to you.
12. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ACEIT DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, THAT OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. ACEIT DOES NOT PROVIDE LEGAL, MEDICAL, FINANCIAL, OR OTHER PROFESSIONAL ADVICE.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ACEIT OR ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF USE, DATA, BUSINESS, PROFITS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ACEIT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
EXCEPT FOR YOUR OBLIGATIONS UNDER SECTION 14 (INDEMNIFICATION) OR LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, ACEIT'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO ACEIT FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100). THE EXISTENCE OF MULTIPLE CLAIMS SHALL NOT ENLARGE THIS LIMIT.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY; IN SUCH JURISDICTIONS, ACEIT'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
14. Indemnification
You shall indemnify, defend, and hold harmless AceIt and its affiliates and their respective officers, directors, employees, and agents from and against any and all third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your User Content; (b) your use of the Services in violation of these Terms or applicable law; (c) your violation of Assessment Rules or third-party agreements; or (d) your negligence or willful misconduct. AceIt reserves the right, at its expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with AceIt's defense.
15. Term; Suspension; Termination
These Terms remain in effect until terminated. You may terminate your Account at any time by following the account closure mechanisms we make available or by contacting support@aceitinterview.com.
AceIt may suspend or terminate your access to the Services immediately upon notice if AceIt reasonably believes you have materially breached these Terms, pose a security or legal risk, or must do so to comply with applicable law. AceIt may also manage the Services so as to protect users, AceIt's systems, intellectual property rights, compliance posture, billing integrity, and proper functioning—including, where reasonable, restricting access associated with abusive or suspicious activity such as denying access associated with identified IP ranges.
Where AceIt suspends or terminates your access for breach or legal risk, or has previously refused to provide you an Account, you agree not to register or use a substitute Account (including under another name or identity) to circumvent that action, except where prohibited by applicable law. AceIt may pursue any available legal remedies in addition to Account closure.
Upon termination, your license to use the Services ceases. Provisions that by their nature should survive (including those relating to User Content licenses to AceIt, intellectual property, disclaimers, limitations of liability, indemnification, governing law, and general provisions) survive.
16. Governing Law; Venue
Before initiating litigation (other than equitable relief permitted below), each party agrees to attempt in good faith to resolve the dispute through informal negotiation for at least thirty (30) calendar days following written notice describing the dispute and desired resolution. Either party may seek injunctive or equitable relief in any court of competent jurisdiction without first completing this informal process where necessary to prevent irreparable harm.
These Terms and any dispute arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles. To the fullest extent permitted by applicable law, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for the resolution of any dispute arising out of or relating to these Terms or the Services.
17. General Provisions
Entire Agreement. These Terms, together with the Privacy Policy and any supplemental terms presented at purchase, constitute the entire agreement between you and AceIt regarding the Services and supersede all prior and contemporaneous understandings.
Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
Assignment. You may not assign or transfer these Terms without AceIt's prior written consent. AceIt may assign these Terms in connection with a merger, acquisition, or sale of assets.
No Waiver. Failure by AceIt to enforce any provision shall not constitute a waiver of future enforcement.
Force Majeure. AceIt shall not be liable for failure or delay in performance due to events beyond its reasonable control.

You consent to receive electronic communications from AceIt at the email address associated with your Account. To the extent permitted by applicable law, you agree electronic communications—including email and disclosures provided through our Services—can satisfy legal requirements that such communications or records be "in writing."
